Please read these Terms and Conditions (“Terms”) carefully before accessing or using StoreRank.ai (“we,” “us,” “our,” or the “Service”). By installing our Shopify app, creating an account, or otherwise using the Service, you agree to be bound by these Terms.

If you do not agree, do not use the Service.

1. Overview of the Service

StoreRank.ai is a Shopify app that helps merchants improve their visibility in AI search engines and large language models such as ChatGPT, Claude, Gemini, and Perplexity. The Service includes AI-powered content optimization, llms.txt and schema generation, automated article generation, AI mention tracking, and AI traffic and revenue analytics. Features may be added, changed, or removed over time.

2. Eligibility

You must be at least 18 years old and able to enter into a legally binding agreement. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms, and “you” refers to both you and that entity.

3. Account and access

To use the Service you must install our app through the Shopify App Store and maintain an active Shopify store. You are responsible for:

Keeping your account information accurate and up to date.
Keeping your login credentials secure.
All activity that takes place under your account.

Notify us immediately at support@storerank.ai if you suspect unauthorized access.

4. Shopify integration and data access

By installing StoreRank.ai you grant us permission to access, read, analyze, and in some cases modify store data necessary to deliver the Service, including:

Product data (titles, descriptions, images, alt text, tags, metadata, variants).
Store pages (about, contact, FAQs, collections, homepage, blog).
Structured data, schema markup, robots.txt, and llms.txt files.
Order and sales data used for attribution and analytics.
Theme assets where required for schema or snippet injection.

We only access and process data needed to operate the Service. We do not sell your data. You retain full ownership of your store content. Our processing of personal data is described in our Privacy Policy.

5. AI-generated content

The Service uses third-party AI providers (including but not limited to OpenAI and Anthropic) to generate product content, FAQs, meta titles, meta descriptions, articles, and related assets.

You acknowledge and agree that:

AI output is probabilistic and may contain inaccuracies, omissions, or unsuitable phrasing.
You are responsible for reviewing, editing, and approving any AI-generated content before it is published to your storefront.
Auto-publish features (for example, article auto-publishing) operate at your direction and risk. You choose whether to enable them and remain responsible for what appears on your store.
We do not guarantee the accuracy, legality, compliance, or commercial performance of AI-generated content.
We are not liable for any consequences arising from published AI-generated content, including but not limited to factual errors, regulatory issues, or customer claims.

You are also responsible for making sure AI-generated content does not infringe any third-party rights or violate laws applicable to your store, industry, or geography.

6. Acceptable use

You agree not to:

Reverse-engineer, decompile, disassemble, or copy the Service or its source code.
Scrape, harvest, or extract data from the Service beyond what is exposed through normal use.
Circumvent or attempt to circumvent any security, access, or usage limit.
Use the Service to generate or publish unlawful, defamatory, harmful, deceptive, or infringing content.
Use the Service to generate fake reviews, deceptive claims, or content designed to manipulate consumers or platforms in ways that violate their policies or applicable law.
Interfere with other users, other Shopify merchants, or the Service itself.
Use the Service in a way that violates Shopify’s Partner Program Agreement or App Store requirements.

Violation may result in immediate suspension or termination without refund.

7. Plans, fees, and billing

StoreRank.ai offers free and paid subscription plans. Paid plans are billed through Shopify’s billing system on a recurring basis (monthly or annually) based on the plan you select.

By subscribing, you agree to:

Pay all fees associated with your plan.
Authorize recurring billing through Shopify until you cancel.
Any applicable taxes based on your billing location.

Usage limits. Some features have monthly usage limits (for example, number of optimized products, number of articles generated, number of tracked queries). Limits reset on your billing cycle unless stated otherwise. Exceeding a limit may require an upgrade.

Free trials. We may offer free trials on certain plans. If you do not cancel before the trial ends, you will be automatically billed for the plan you selected.

Cancellations. You may cancel at any time by uninstalling the app or changing your plan in the dashboard. Access to paid features continues until the end of the current billing cycle.

Refunds. Fees are non-refundable except where required by law or granted at our discretion on a case-by-case basis.

Pricing changes. We may change pricing or plan features at any time. Changes to your existing plan will be communicated in advance, and you may cancel before they take effect if you do not accept them.

8. Intellectual property

All rights, title, and interest in the StoreRank.ai platform (including the software, source code, models, trademarks, logos, visual design, documentation, and written content) are owned by us or our licensors.

You may not:

Copy, resell, sublicense, or redistribute the Service or its components.
Use our name, logo, or brand assets without prior written permission, except as needed to describe your use of the Service.
Register any domain, trademark, or social handle containing “StoreRank” or confusingly similar variations.

You retain ownership of your store data and of any content you generate using the Service (subject to the terms of the underlying AI providers).

9. Service availability

We work hard to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may:

Modify, add, or remove features.
Push updates, improvements, or fixes.
Restrict access temporarily for maintenance, security, or investigation.
Discontinue the Service or parts of it with reasonable notice.

We are not liable for temporary downtime, degraded performance, or data loss, though we will make reasonable efforts to prevent and minimize these.

10. Third-party services

The Service integrates with and depends on third-party platforms and APIs, including Shopify, OpenAI, Anthropic, Google APIs, DataForSEO, SERPER, BrightData, and others. Your use of those services is subject to their terms, and their availability, performance, and policies are outside our control. We are not responsible for changes, failures, or data handling by third parties.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee:

Any specific ranking, visibility, mention, citation, traffic, conversion, or revenue outcome in any AI platform or search engine.
That AI platforms will index, recommend, or cite your store.
That structured data, llms.txt, or schema changes will produce measurable results within any specific timeframe.
Accuracy of analytics, attribution, or tracking data, which depends on third-party signals that can be incomplete or delayed.

Results vary based on factors outside our control, including your existing SEO foundation, product category, pricing, competition, and the behavior of third-party AI systems.

12. Limitation of liability

To the maximum extent permitted by law, StoreRank.ai and its officers, employees, and affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, goodwill, data, or business opportunities.

Our total aggregate liability for any claim arising out of or related to the Service or these Terms is limited to the amount you paid us in the 6 months immediately preceding the event giving rise to the claim.

These limits apply even if we have been advised of the possibility of such damages, and even if a remedy fails of its essential purpose.

13. Indemnification

You agree to defend, indemnify, and hold harmless StoreRank.ai and its affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:

Your use or misuse of the Service.
Your violation of these Terms.
Content you publish through or using the Service, including AI-generated content.
Your violation of any law or third-party right.

14. Termination

We may suspend or terminate your access to the Service at our discretion if you violate these Terms, abuse the Service, engage in fraudulent activity, or create risk for us, other users, or third parties.

You may terminate at any time by uninstalling the app through Shopify.

On termination:

Your access to paid features ends.
We may retain or delete your data in accordance with our Privacy Policy and any legal obligations.
Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will continue to apply.

15. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will notify you by email or in-app notice before they take effect. Your continued use of the Service after the effective date of the update means you accept the revised Terms.

16. Force majeure

We are not liable for any failure or delay caused by events outside our reasonable control, including internet outages, third-party API failures, natural disasters, war, strikes, government action, or other force majeure events.

17. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.

18. Severability and entire agreement

If any part of these Terms is found unenforceable, the rest remains in effect. These Terms, together with our Privacy Policy and any plan-specific terms, make up the entire agreement between you and StoreRank.ai regarding the Service and supersede any prior agreements.

19. Governing law and disputes

These Terms are governed by the laws of the Netherlands, without regard to conflict of law rules. Any dispute that cannot be resolved informally will be submitted to the competent courts of Rotterdam, the Netherlands, unless mandatory local law provides otherwise.

StoreRank.ai Affiliate Program Terms

By joining the StoreRank.ai Affiliate Program, you agree to these terms.

1. Eligibility

You must be 18 or older and legally able to enter contracts in your jurisdiction.
You must have a legitimate website, newsletter, social account, community, or client base relevant to Shopify, e-commerce, SEO, or marketing.
We review all applications and reserve the right to approve or reject any applicant at our discretion.

2. How it works

Approved affiliates receive a unique coupon code.
When a Shopify merchant installs StoreRank.ai and enters your coupon code at checkout, the referral is attributed to you.
Attribution is manual and coupon-based. Referrals without your coupon code entered cannot be attributed retroactively.

3. Commission

You earn a fixed % recurring commission on the net subscription revenue of each referred merchant, for as long as they remain a paying customer.
Commissions are calculated on amounts actually collected, after refunds, chargebacks, taxes, and payment processing fees.
Trial periods, free plans, and non-paying installs do not generate commission.

4. Payouts

Minimum payout threshold: $100 USD.
Payouts are made monthly via PayPal Mass Payouts.
You are responsible for providing a valid PayPal email. Failed transfers due to incorrect details are your responsibility.
Balances below the threshold roll over to the next month.
Unclaimed balances expire after 12 months of affiliate inactivity.

5. Prohibited promotion methods

You may not:

Self-refer. Using your own coupon code on your own Shopify store, or on stores you own, operate, or control.
Run coupon, deal, or voucher sites that primarily exist to aggregate discount codes.
Bid on branded keywords in paid search, including “StoreRank”, “StoreRank.ai”, “Store Rank AI”, or any misspellings or variations, on Google, Bing, Meta, TikTok, or any other ad platform.
Use our trademarks, logos, or brand name in domain names, subdomains, URLs, or social handles.
Impersonate StoreRank.ai or suggest you are an official representative, employee, or the product itself.
Send unsolicited email, SMS, or DMs (spam) to promote the product.
Post fake reviews on the Shopify App Store, G2, Capterra, Trustpilot, or any review platform.
Make false or misleading claims about the product, its features, pricing, or results.
Run incentivized traffic schemes (cashback, rewards, pay-to-click, forced clicks).
Use malware, adware, cookie stuffing, iframe injection, or any form of traffic fraud.
Promote via adult, hateful, illegal, or otherwise harmful content.

Violation results in immediate termination and forfeiture of unpaid commissions.

6. Disclosure

You must clearly disclose your affiliate relationship wherever you promote StoreRank.ai, in line with FTC guidelines and any local equivalent (ASA in the UK, EU consumer protection laws, etc.).

7. Refunds and chargebacks

If a referred merchant cancels, refunds, or charges back within their first 60 days, the related commission is reversed.
Ongoing commissions stop the moment a merchant cancels their subscription.

8. Cookies and attribution

We do not currently use cookie-based attribution. All referrals must be tracked via your unique coupon code.
Last-entered coupon wins if multiple codes are attempted.

9. Intellectual property

We grant you a limited, non-exclusive, revocable license to use our name and approved brand assets solely to promote StoreRank.ai.
You may not modify our logo, create derivative marks, or register anything containing our name.
All rights not expressly granted are reserved.

10. Relationship

You are an independent contractor. Nothing in these terms creates an employment, partnership, joint venture, or agency relationship. You are responsible for your own taxes in your jurisdiction.

11. Termination

Either party may end the affiliate relationship at any time, for any reason, with written notice (email is fine).
We may terminate immediately and withhold unpaid commissions if we reasonably suspect fraud, policy violation, or breach of these terms.
On termination, your coupon code is deactivated and no further commissions accrue.

12. Changes

We may update these terms at any time. Material changes will be communicated via email. Continued participation after changes take effect means you accept the new terms.

13. Liability

StoreRank.ai is not liable for any indirect, incidental, or consequential damages related to your participation in the program. Our total liability is capped at the commissions paid to you in the 6 months preceding the claim.

14. Governing law

These terms are governed by the laws of The Netherlands. Disputes will be resolved in the courts of The Netherlands.
